Company and other formations

Regular clients with multiple users of London Law's systems are able to login and utilise our library of Articles of Association or use their own bespoke Articles.

Entrepreneurs are given the option of three standardised packages online or if they wish they can telephone or email for a bespoke formation.

London Law's system also provides an online incorporation of Limited Liability Partnerships.

Before proceeding to a formation you will need the following:

  1. The intended name checked for availability.
  2. The name(s), full dates of birth, residential and service addresses of the intended director(s). The Companies Act 2006 permits a sole director and company secretary is no longer obligatory.
  3. The Registered Office Address in the relevant country of incorporation e.g. England & Wales, Scotland, Northern Ireland or just Wales. (London Law's address can be used for an annual fee).
  4. Details of the first shareholders and number of shares allotted on incorporation. The concept of Nominal Capital no longer applies.
  5. For electronic formation three items of personal data to provide an electronic signature for each director and, if appointed, the secretary.

    *Three items of personal data from a list of six are:

    1. First three letters of town of birth
    2. Last three digits of telephone number
    3. Last three characters of national insurance number
    4. Last three digits of passport number
    5. First three letters of mother's maiden name
    6. First three letters of father's name

    For instance:
    1. London / 6. Smith / 7. Albert

    Therefore, electronic signature would be: LON, SMI, ALB

    Electronic formations have a major advantage in that the CAC Code (Company Authentication Code) is allocated on incorporation and the details are available to banks and other parties immediately on incorporation.

London Law unless instructed to the contrary will provide a *full set of Articles of Association, as these are more extensive, and are readily to hand and less liable to confusion, particularly if subsequent legislation prescribe new regulations.

The Companies Acts provide for a company and limited liability partnerships to keep a company register at the Registered Office address and unless you have a particular reason we advise that you select a printed register from the options available which will have the details of the new company entered and contain share certificates and blank pages for the like of the company.
